Terms of Service

1.Eligibility

You must meet the minimum age required by applicable law to use the Services. ProLink Sports is not intended for children under 13. If you are under the age of majority where you live, you may use the Services only with the involvement and permission of a parent or legal guardian when required by law. You are responsible for providing accurate age and account information.

2.Accounts

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. You agree to provide accurate information and to promptly update information that becomes inaccurate. Do not share your password or allow another person to use your account in a manner that violates these Terms.

3.ProLink Sports Is a Platform, Not an Agent

ProLink Sports is a technology platform intended to help athletes discover and communicate with recruiters, scouts, sports agencies, coaches, teams, and other sports organizations. Unless ProLink Sports separately enters into a written representation agreement with you, ProLink Sports is not acting as your sports agent, attorney, manager, financial advisor, coach, or representative.

ProLink Sports does not guarantee that an athlete will be recruited, contacted, signed, offered a scholarship, offered a contract, drafted, hired, selected, or otherwise receive a sports opportunity. No ranking, profile view, message, invitation, or recruiter interaction constitutes a promise of an opportunity.

4.Recruiters, Agencies, Scouts, and Other Users

Recruiters, agencies, scouts, coaches, teams, and other users may provide information about themselves and their opportunities. ProLink Sports may use reasonable measures to review or moderate accounts, but cannot guarantee the identity, credentials, intentions, conduct, or representations of every user or organization. Users should independently verify any recruiter, agency, opportunity, contract, payment request, travel arrangement, or other offer before relying on it.

5.Athlete Profiles and User Content

You retain ownership of content you submit to ProLink Sports, subject to the rights you grant below. By uploading or submitting content, you grant ProLink Sports a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, display, distribute, and otherwise use that content as reasonably necessary to operate, improve, market, and provide the Services, consistent with your privacy and visibility settings and applicable law.

You represent that you have the rights and permissions necessary to submit your content and grant this license. Do not upload content that infringes another person's intellectual property, privacy, publicity, contractual, or other rights.

6.Prohibited Conduct

You may not:

• impersonate another person or organization;
• create fraudulent recruiting profiles or misrepresent athletic credentials, statistics, identity, age, eligibility, or affiliation;
• harass, threaten, stalk, exploit, defraud, or abuse another user;
• request or share sensitive personal information when it is not necessary for a legitimate recruiting purpose;
• use the Services for unlawful discrimination, scams, spam, phishing, or deceptive recruiting practices;
• upload malware, malicious code, or material intended to interfere with the Services;
• scrape, copy, harvest, or systematically collect user information without authorization;
• attempt to bypass security, access another user's account, or interfere with platform operations;
• use the Services to arrange illegal activity or transactions; or
• violate any applicable law, league rule, school rule, eligibility rule, or contractual obligation.

7.Recruiting Communications and Safety

Users are responsible for their own communications and decisions. ProLink Sports encourages users to keep communications on the platform when possible, avoid sending sensitive information unnecessarily, and report suspicious behavior. Never send money, passwords, financial-account credentials, government identification numbers, or other highly sensitive information to an unverified recruiter or agency.

8.Intellectual Property

The ProLink Sports name, logo, branding, software, interface, designs, text, graphics, and other platform materials are owned by or licensed to ProLink Sports and are protected by applicable intellectual-property laws. Except as expressly allowed by these Terms, you may not copy, modify, distribute, sell, reverse engineer, or create derivative works from the Services or ProLink Sports intellectual property.

9.Feedback

If you provide suggestions, ideas, feature requests, or other feedback about ProLink Sports, you grant ProLink Sports permission to use that feedback without restriction or compensation to you, unless prohibited by law.

10.Suspension and Termination

ProLink Sports may suspend, restrict, or terminate an account or access to the Services when reasonably necessary to protect users, investigate abuse, enforce these Terms, comply with law, or protect the integrity or security of the platform. You may stop using the Services at any time. Certain provisions of these Terms may survive termination, including intellectual-property, disclaimers, limitations of liability, indemnification, and dispute-related provisions.

11.Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PROLINK SPORTS DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS.

PROLINK SPORTS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY ATHLETE WILL RECEIVE A RECRUITING OPPORTUNITY. PROLINK SPORTS IS NOT RESPONSIBLE FOR THE ACTIONS, REPRESENTATIONS, CONTRACTS, OFFERS, OR CONDUCT OF RECRUITERS, AGENCIES, ATHLETES, COACHES, TEAMS, OR OTHER THIRD PARTIES.

12.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROLINK SPORTS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OPPORTUNITIES, REPUTATION, OR GOODWILL ARISING FROM OR RELATED TO THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF PROLINK SPORTS FOR CLAIMS ARISING FROM THE SERVICES WILL BE LIMITED TO THE GREATER OF THE AMOUNT YOU PAID TO PROLINK SPORTS FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100.

13.Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ProLink Sports and its owners, officers, employees, contractors, and service providers from claims, liabilities, damages, losses, and expenses arising from your violation of these Terms, your user content, your misuse of the Services, or your violation of another person's rights or applicable law.

14.Dispute Resolution and Governing Law

These Terms should be completed before publication with the state or country in which the ProLink Sports legal entity is organized and the dispute-resolution procedure the company intends to use. Unless a different procedure is required by applicable law, disputes will be governed by the laws of [INSERT GOVERNING STATE/COUNTRY], without regard to conflict-of-law rules. Any arbitration, venue, class-action waiver, or other dispute provisions should be reviewed and approved by a licensed attorney before they are activated.

15.Changes to These Terms

We may update these Terms from time to time. If changes are material, we may provide notice through the Services or other appropriate means. Continued use of the Services after the effective date of updated Terms constitutes acceptance to the extent permitted by law.
